Why Founders Choose Maine

Maine has a uniquely specialized economic profile among US states: the #1 US lobster fishery (~$500M dockside value, ~80% of US lobster), two strategically essential naval shipyards (Bath Iron Works — only US shipyard building Arleigh Burke DDGs alongside HII Ingalls, and Portsmouth Naval Shipyard in Kittery — only US nuclear-sub overhaul yard besides HII Newport News), the Jackson Laboratory in Bar Harbor (world's largest non-human mammalian genetic research facility, ~2,400 employees, originator of the JAX mice strains used in ~90% of US biomedical research), IDEXX Laboratories (NASDAQ: IDXX, Westbrook — world's largest veterinary diagnostics manufacturer, ~$3.7B revenue, S&P 500 constituent), WEX Inc. (NYSE: WEX, Portland HQ — F500 corporate payments + fleet fuel cards), L.L. Bean (Freeport HQ, ~$1.6B private revenue), and the #1 US wild blueberry + #1 US east-of-Mississippi maple syrup production. Maine also hosts Acadia National Park (Mount Desert Island + Schoodic + Isle au Haut — ~4M annual visitors, America's most-visited Eastern national park).

#1 US lobster fishery — ~80% of US lobster value

Maine produces approximately 80% of US lobster by value (~100M lbs annually, ~$500M dockside, ~$1.2B value-added through wholesale + retail + restaurant), licensed under 12 MRSA Chapter 619 by the Maine Department of Marine Resources (DMR). ~5,000 commercial lobster license-holders operate across seven DMR management zones (A–G), with ~4,000 apprentices on waitlists that typically take 5–20 years to graduate to Individual Trap Limits (Class I 300 traps, Class II 600, Class III 800). Major operations: Maine Lobstermen's Association (trade group), Luke's Lobster (Portland HQ, ~40 shacks nationwide), Linda Bean's Perfect Maine Lobster, Ready Seafood (Saco — largest ME lobster wholesaler), Cozy Harbor Seafood (Portland), Cousins Maine Lobster (ABC Shark Tank franchise). Aquaculture also growing under 12 MRSA Chapter 605: Cooke Aquaculture (Atlantic salmon net-pen Jonesport + Cutler), Running Tide (kelp carbon removal), Damariscotta River oyster cluster (Glidden Point Oyster, Pemaquid Oyster), Bangs Island Mussels (Casco Bay). Maine seafood broader: groundfish (cod, haddock, pollock), sea scallops (Georges Bank), seaweed harvest (~20M lbs wild rockweed + dulse + kelp).

Bath Iron Works — only US shipyard building Arleigh Burke DDGs alongside HII

Bath Iron Works (BIW), the General Dynamics subsidiary in Bath (Sagadahoc County), is one of only two US shipyards building Arleigh Burke-class DDG 51 guided-missile destroyers (the other: HII Ingalls in Pascagoula MS). BIW currently delivers the DDG 51 Flight III configuration featuring the AN/SPY-6(V)1 Air and Missile Defense Radar from Raytheon/RTX. BIW built and delivered all three Zumwalt-class DDG 1000 advanced- technology destroyers (USS Zumwalt, USS Michael Monsoor, USS Lyndon B. Johnson), each displacing ~15,000 tons and incorporating the tumblehome hull + full electric drive + dual Advanced Gun System 155mm weapons. BIW is a leading contender for follow-on Constellation-class FFG(X) frigate construction (Fincantieri Marinette Marine WI is the prime). ~6,500 Maine employees. Cleared-contractor ecosystem: Lockheed Martin (Aegis + VLS), Raytheon/RTX (AN/SPY-6 + SM-6 + Tomahawk + ESSM), L3Harris (comms + EW), Northrop Grumman (AIMS), BAE Systems (Mk 45 5-inch gun), Parker Hannifin (aux systems). BIW is the largest private-sector employer in Sagadahoc + Lincoln + Cumberland mid-coast Maine.

Portsmouth Naval Shipyard — only US nuclear-sub overhaul yard besides Newport News

Despite its name, Portsmouth Naval Shipyard (PNSY) is located in Kittery (York County), Maine — across the Piscataqua River from Portsmouth, NH. PNSY is one of only TWO US public naval shipyards with nuclear-submarine overhaul capability (the other: HII Newport News Shipbuilding in VA). PNSY specializes in Los Angeles-class (SSN 688) and Virginia- class (SSN 774) attack-submarine refueling + overhaul + modernization work, with ~6,500 civilian employees. PNSY was founded in 1800 — the OLDEST continuously operating US Navy shipyard. Cleared-contractor ecosystem includes General Dynamics Electric Boat (the ONLY US SSN builder, Groton CT + Quonset Point RI), HII, Bechtel, BWXT (nuclear reactor components), Honeywell FM&T Kansas City National Security Campus (weapons integration), Raytheon, Lockheed. Southern Maine + York County (Kittery, York, Wells, Ogunquit, Saco, Biddeford) + New Hampshire Seacoast (Portsmouth, Dover, Exeter, Hampton) share a deep defense-contracting LLC ecosystem of engineering + logistics + technical-services firms supporting PNSY submarine overhaul cycles.

Jackson Laboratory — world's largest mammalian genetics facility

The Jackson Laboratory (JAX), Bar Harbor (Mount Desert Island, Hancock County), is the world's largest non-human mammalian genetic research facility. Founded 1929 by Clarence Cook Little, JAX distributes the iconic JAX mice strains (over 11,000 genetically-defined mouse strains) used in approximately 90% of US biomedical research, including the standard inbred C57BL/6J and BALB/c lines that are the base workhorse of mammalian immunology, oncology, diabetes, cardiovascular, and neuroscience research. ~2,400 Maine employees; JAX also operates campuses in Farmington CT (Jackson Laboratory for Genomic Medicine, opened 2014), Sacramento CA, and Kunming China. JAX\'s biomedical adjacency in the mid- coast + Down East Maine region has catalyzed a small-but- growing cluster of biotech + genomics + computational biology LLCs (Maine-based and regional), and the JAX Summer Student Program brings top PhD candidates to Bar Harbor annually for a selective 10-week research rotation.

IDEXX + WEX + L.L. Bean — Greater Portland economic anchors

Greater Portland (Cumberland County, ~550K metro population) is Maine's economic gravity center. IDEXX Laboratories (NASDAQ: IDXX, Westbrook — S&P 500 constituent, ~$3.7B revenue, ~12,000 global employees, market cap ~$40B) is the world's largest veterinary diagnostics manufacturer, dominating companion-animal reference-lab testing (IDEXX Reference Laboratories), in-clinic diagnostic analyzers (Catalyst Dx + ProCyte One + SediVue Dx), and veterinary practice management software (Cornerstone + ezyVet + Neo). WEX Inc. (NYSE: WEX, Portland HQ — F500, ~$2.5B revenue, ~6,000 global employees) is a leading corporate payments platform covering fleet fuel cards (WEX FleetCard + Fuelman), corporate travel payments (WEX Payments for Travel), healthcare benefits accounts (HSA + FSA + HRA administration), and supply-chain B2B payments. L.L. Bean (Freeport — private, ~$1.6B revenue, ~5,000 employees) is the iconic Maine outdoor retailer founded 1912 by Leon Leonwood Bean, with the 24/7 flagship store on Main Street Freeport. Plus Unum Group (NYSE: UNM, Portland secondary HQ + Chattanooga TN primary, F500 disability insurance ~$12B revenue), Hannaford Bros. (Scarborough — Ahold Delhaize subsidiary, largest Maine- based grocery chain, ~180 stores across the Northeast), ImmuCor / Werfen (Westbrook transfusion diagnostics), MaineHealth (Portland — ~23K employees, Maine's largest healthcare employer, Maine Medical Center flagship hospital).

Acadia National Park + Down East tourism economy

Acadia National Park (Hancock County, Mount Desert Island + Schoodic Peninsula + Isle au Haut, 49K acres protected, ~4M annual visitors) is America's most-visited Eastern national park and the economic anchor of Down East Maine. The Bar Harbor + Mount Desert Island tourism ecosystem supports hundreds of seasonal LLCs — B&Bs, whale-watch + lobster-boat + sea- kayak + puffin-cruise operators (Acadian Whale Watch, Bar Harbor Whale Watch, Lulu Lobster Boat), restaurants (Thurston's, The Travelin' Lobster, Side Street Cafe, Stewman's Lobster Pound), carriage tours (Carriages of Acadia on John D. Rockefeller Jr.'s 45-mile historic carriage road network). Tourism ~$9B statewide (~37M visitors 2023), with additional clusters at Portland Old Port + West End + East End cruise-ship reception, Kennebunkport (Bush family compound Walker's Point), Camden + Rockland + Mid-Coast windjammer schooner fleet (Maine Windjammer Association — North America's largest concentration of traditional sail vessels), Boothbay Harbor, Ogunquit + Perkins Cove + York Beach + Old Orchard Beach summer-shore, Moosehead Lake + Baxter State Park (Mount Katahdin — northern terminus of the Appalachian Trail at the Baxter Peak cairn, 5,269 ft, Maine's highest peak). Tourism LLCs in Maine must navigate the 9% lodging tax under 36 MRSA § 1811 + 5.5% sales tax on retail goods + Maine Short Term Rental Registry obligations at the municipal level (Portland + Bar Harbor + Kennebunkport + Ogunquit all have local STR ordinances).

Aroostook County potato belt + wild blueberry + maple

Aroostook County (6,453 sq mi — the largest county east of the Mississippi by area, "The County" to Mainers) is the Maine potato belt — ~1.5B lbs annual production from ~55K acres, ranking Maine #10 nationally in potato production behind ID, WA, WI, ND, MN, MI, OR, CO, NE. Major operations: McCain Foods (Easton ME processing plant — the Florenceville NB HQ'd world's largest frozen-potato processor), Frito-Lay / PepsiCo (Presque Isle chip-stock contracts), Pineland Farms Potato Company (Mars Hill), Hanson Potato Farm, Porter Farms, Guerrette Farms, Terra Farms, Green Thumb Farms, Finemark Farms. Maine is the #1 US wild blueberry producer — approximately 60M+ lbs annually from Washington County (Jonesboro + Cherryfield + Milbridge + Deblois), a wild species (Vaccinium angustifolium) distinct from the cultivated highbush blueberry grown in MI / NJ / GA / OR. Major wild blueberry processors: Wyman's of Maine (Milbridge), Allen's Blueberry Freezer (Ellsworth), Cherryfield Foods (Cherryfield). Maine is #2 US maple syrup producer (~680K gallons annually, second only to Vermont's ~2M gallons; Maine surpasses NY + NH + WI combined at 3rd place), primarily from Somerset + Oxford + Franklin + Piscataquis counties (Coombs Family Farms, Maple Meadow Farms, Bascom Maple Farms subsidiary). Add #1 US brown-egg supply (Eggland's Best + Hillandale Farms + DeCoster Egg Farms), Maine beer craft cluster (Allagash Brewing, Maine Beer Company, Bissell Brothers, Oxbow), and the Maine Wild Blueberry + Maine Lobster + Maine Maple + Maine Potato + Maine Apple branding programs under ME Department of Agriculture Quality Trademarks.

When Maine is not the right answer

Maine is an excellent fit for Maine lobster + aquaculture, Bath Iron Works + Portsmouth Naval Shipyard defense contracting, Jackson Laboratory + MaineHealth biomedical, Greater Portland professional services (IDEXX + WEX + L.L. Bean orbit), Acadia + Down East tourism, and Aroostook potato + wild blueberry agriculture. It is not the right answer for every founder. Consider a different state when:

  • You want zero state income tax — Maine's 7.15% top rate is mid-pack. For zero, choose NH, FL, TX, NV, SD, TN, WA, WY, AK
  • You want fully anonymous public-record LLC ownership — Maine Annual Reports disclose manager-managed LLCs' managers or member-managed LLCs' members. Form in New Mexico (NMSA § 53-19-8 no disclosure, plus no annual report) or Wyoming (W.S. § 17-29-201 no disclosure)
  • You want the cheapest US filing — Maine's $175 is mid-to-upper tier. For cheapest, choose MT $35, KY $40, AR $45, NM $50 (plus $50 only = NM wins on 10-year cost)
  • You're a VC-scale startup preparing for institutional funding → Delaware
  • Your business operates primarily in another state — that state will require foreign-LLC registration + sales/use tax nexus reporting regardless of Maine formation
  • You need series-LLC structure — Maine does NOT permit series. Form in DE, IL, TX, IA, NV, OK, TN, UT, AL, VA, WY, KY, WI, IN, MO, ND
  • You want trust-planning infrastructure (DAPT + dynasty trust + directed trust) — South Dakota + Wyoming + Nevada + Delaware have stronger trust statutes than Maine
  • You need fast Secretary of State processing — Maine's 5–10 business-day standard is among the slowest. ID + MT + OR + WY + DE all process faster

Maine is genuinely right for: (1) Maine lobster + seafood + aquaculture + groundfish + scallop + seaweed LLCs with operations in DMR management zones A–G, (2) Bath Iron Works + Portsmouth Naval Shipyard cleared-contractor services LLCs in mid-coast + southern Maine, (3) Jackson Laboratory + MaineHealth + IDEXX biomedical + veterinary-diagnostics + genomics LLCs, (4) Greater Portland professional services LLCs in the IDEXX + WEX + L.L. Bean + Unum economic orbit, (5) Acadia + Bar Harbor + Kennebunkport + Camden windjammer + Moosehead + Baxter tourism LLCs, (6) Aroostook County potato + Washington County wild blueberry + Somerset + Oxford maple syrup agriculture LLCs, (7) Freeport + Portland + Kittery Trading Post outdoor-retail + brand-aligned LLCs, (8) Maine craft beer + wine + distilled-spirits LLCs leveraging the Maine Wild Blueberry + Maine Maple + Maine Apple Quality Trademark brand system.

7 Steps to Form a Maine LLC

1

Choose your LLC name

Your Maine LLC name must be distinguishable from every other entity on record and must include "Limited Liability Company", "Limited Company", "L.L.C.", "LLC", "L.C.", or "LC" under 31 MRSA § 1508. Professional LLCs providing licensed professional services use "Professional Association", "P.A.", "Professional Limited Liability Company", or "P.L.L.C." under 13 MRSA Chapter 22-A. Search availability at the Maine Secretary of State corporate search at maine.gov/sos/cec/corp.

Optional: Reserve a name for 120 days for a $20 fee under 31 MRSA § 1509. Most founders skip the reservation and file Certificate of Formation directly, especially if paying the $50 24-hour expedite.

2

Designate a Maine registered agent

Under 31 MRSA § 1604 (the Maine Registered Agents Act), every Maine LLC must have a registered agent with a physical Maine street address — no P.O. boxes, no private mailbox services (UPS Store / PostNet addresses do not qualify), no virtual-only addresses. The agent must be available during normal business hours to accept service of process and official state correspondence. Maine uses standard "registered agent" terminology.

If you do not live in Maine, you must use a commercial registered agent. Eleet AI's Maine registered agent service is included free in year one with formation, then $100/yr after.

3

File Certificate of Formation at maine.gov/sos

Certificate of Formation is the document that creates your Maine LLC. Required information under 31 MRSA § 1531: LLC name, designated ME office street address, registered agent name + ME street address (commercial or noncommercial — noncommercial agents need separate Statement of Appointment), management structure (member- managed or manager-managed), duration (perpetual unless specified), organizer name + signature.

File online at maine.gov/sos/cec/corp for $175. Paper filings are accepted by mail to the Secretary of State Bureau of Corporations, 101 State House Station, Augusta, ME 04333-0101 — add 10–15 business days for mail processing; online is the preferred pathway. Standard processing is 5–10 business days.

Optional expedite: Maine offers $50 for 24-hour expedited review under 5 MRSA § 91 or $100 for immediate (same-day) processing when delivered in person to Augusta before 1 PM ET. Given Maine's 5–10 business-day standard, the $50 24-hour expedite is worthwhile for most founders.

4

Create an operating agreement

Maine does not legally require a written operating agreement (31 MRSA § 1521 permits oral, implied, or written), but you should have a written one. Without it, courts default to the statutory rules in the Maine Revised Uniform LLC Act (31 MRSA Chapter 21), which may not match how you actually want the LLC to operate.

For single-member LLCs, a written operating agreement is particularly important: it strengthens the liability shield in litigation and is often required by banks opening business accounts, title companies closing real-estate purchases, and lenders making business loans.

Eleet AI offers a Maine-specific operating agreement template for $99 that includes ME-statute-specific language on charging-order protection under 31 MRSA § 1573, member rights, capital contributions, distribution rights, and dissolution.

5

Get an EIN from the IRS

An Employer Identification Number (EIN) is your LLC's federal tax ID. You need it to open a business bank account, hire employees, file federal taxes, and complete FinCEN BOI reporting. Apply for free at IRS.gov — it takes about 5 minutes and you receive your EIN immediately.

Non-resident note: If you do not have a US Social Security Number or ITIN, the IRS online EIN application is not available — you must apply by fax or mail using Form SS-4 with a "Responsible Party" designation. Processing takes 4–5 weeks. Eleet AI's $49 EIN add-on covers the non-SSN pathway.

6

Register with Maine Revenue Services (if applicable)

Most Maine LLCs need to register with Maine Revenue Services via the Maine Tax Portal for state income tax withholding (if you have employees), sales tax (if you sell taxable goods/services in ME), and pass- through entity reporting.

Sales tax: If your LLC sells taxable goods or services to ME customers, register for a ME sales tax account. State rate is 5.5%, with NO local additions. Higher rates: 8% prepared food, 9% lodging, 10% auto rentals, 15% service provider tax on narrow categories. Remote- seller Wayfair nexus threshold is $100K/yr in ME gross sales.

Income tax withholding: If your LLC has ME employees, register for a ME Income Tax Withholding Account through the Maine Tax Portal. ME withholding rates track the personal income tax schedule (5.80% / 6.75% / 7.15%).

Unemployment insurance: Required if you pay $1,500+ in wages in any calendar quarter — register with the Maine Department of Labor Unemployment Insurance at maine.gov/labor.

Workers\' comp: Required for all ME LLCs with employees under 39-A MRSA § 401. Maine permits private workers\' comp carriers (unlike WA/WY/OH/ND monopoly systems); policies available through MEMIC (Maine Employers\' Mutual Insurance Company — the dominant ME workers\' comp carrier, founded 1993), Liberty Mutual, Travelers, The Hartford, and others.

DMR lobster + marine license (if applicable): Commercial lobster harvesting, aquaculture leasing, seaweed harvesting, elver (baby eel) harvesting, and other marine commercial activities require separate Maine Department of Marine Resources licenses under 12 MRSA Chapter 619 (lobster), 12 MRSA Chapter 605 (aquaculture), and related statutes. DMR licensing is separate from LLC formation.

7

File FinCEN BOI report + calendar June 1 annual report

FinCEN BOI (federal, mandatory): Under the Corporate Transparency Act, within 30 days of LLC formation you must file a Beneficial Ownership Information report with the US Treasury's Financial Crimes Enforcement Network (FinCEN). This is a federal requirement, not a Maine requirement, and applies regardless of state. Filing is free at FinCEN.gov/boi.

Maine annual report ($85, due June 1): Every Maine LLC must file an Annual Report under 31 MRSA § 1665 by June 1 each year (fixed calendar date for all ME LLCs regardless of formation month). Miss the June 1 deadline and ME imposes a $50 late fee ($135 total); failure to file two consecutive annual reports results in administrative dissolution under 31 MRSA § 1592, with a $150 reinstatement fee plus back annual reports owed. The report updates designated office address, registered agent information, and (for manager-managed LLCs) current managers. Eleet AI tracks your June 1 due date and sends a courtesy reminder 45 days before; optional $49 filing service covers the annual report preparation and submission on your behalf.

Local licensing: Maine has no statewide general business license. Some cities (Portland, Bangor, Lewiston, Auburn, Augusta, Bath, Brunswick, South Portland, Kittery, Biddeford, Sanford, Waterville, Saco, Westbrook) require a municipal business registration for certain activities. Professional licensing (medical, legal, engineering, real estate, contractor, insurance, cosmetology) goes through the relevant ME occupational board at maine.gov/professionallicensing.

Maine LLC — Common Questions

How much does it cost to form a Maine LLC?

Maine charges a $175 Certificate of Formation filing fee for domestic LLCs under 31 MRSA § 1531, submitted online at maine.gov/sos or by mail to the Secretary of State Bureau of Corporations, Elections and Commissions in Augusta. Foreign LLCs (formed in another state qualifying to do business in Maine) pay a $250 Application for Authority filing fee. Eleet AI charges $324 all-inclusive for Maine LLC formation — that covers the $175 state fee, Certificate of Formation preparation, filing through the ME SOS portal, and first-year Maine registered agent service. National services commonly advertise Maine formation packages at $0–$149 then add the $175 state fee, a mandatory registered agent ($100–$299/yr), and various upsells, pushing the realistic first-year total to $325–$600+. Maine's $175 filing fee is mid-to-upper tier among US states — below MA $500, TX $300, NY $200 + publication, TN $300+, IL $150+, above cheaper-tier states (MT $35, KY $40, AR $45, CO $50, MI $50, MS $50, NM $50, IA $50).

Does Maine charge an annual fee for LLCs?

Yes — Maine requires an $85 Annual Report filed online under 31 MRSA § 1665, due by June 1 each year (a fixed calendar date for all ME LLCs regardless of formation month). Foreign LLCs pay $150 for the annual report. Miss the June 1 deadline and the state imposes a $50 late fee ($135 total), and an LLC that fails to file for 2 years becomes administratively dissolved under 31 MRSA § 1592; reinstatement requires payment of all delinquent annual reports plus a $150 reinstatement fee. At $85/yr, Maine's annual report is roughly mid-pack — more expensive than many states (NE biennial $26, ND $50, SD $50, VA $50, MI $25, AR $150), cheaper than CA $800 minimum franchise tax, DE $300 franchise, MA $500, NY IT-204-LL varying by gross income, OR $100, FL $138.75. 10-year Maine state compliance cost = $175 formation + 9 × $85 = $940 total, which is mid-to-upper tier compared to neighbors NH ($1,002), VT ($160 formation + 9 × $35 = $475), MA ($5,000), and RI ($250 + 9 × $50 = $700). Eleet AI tracks your June 1 due date and sends a courtesy reminder 45 days before the deadline; optional $49 filing service covers the annual report preparation and submission on your behalf.

What is the Maine state income tax rate on LLCs?

Maine has a three-bracket progressive personal income tax under 36 MRSA § 5111: 5.80% on taxable income up to $26,050 (single) / $52,100 (married filing jointly), 6.75% on income between those thresholds and $61,600 (single) / $123,250 (MFJ), and 7.15% on income above those upper thresholds. Indexed annually for inflation under 36 MRSA § 5111(1-E). For a Maine-resident single-member LLC with $150K pass-through income (single filer), state tax is roughly $9,700 — higher than ND 2.50%, IN 3.0%, PA 3.07%, UT 4.85%, MT 5.9%, CO 4.4%, but lower than OR 9.9%, MN 9.85%, NY 10.9%, CA 13.3%, HI 11%, NJ 10.75%. Maine is honest middle-of-pack on personal tax — not a low-tax state, not the highest. Corporate income tax on ME LLCs electing C-corp status is graduated 3.5%–8.93% under 36 MRSA § 5200 (3.5% up to $350K, 7.93% $350K–$1.05M, 8.33% $1.05M–$3.5M, 8.93% above $3.5M). Maine offers a Pass-Through Entity (PTE) tax election under 36 MRSA § 5206 (LD 1891, enacted 2021) at the top 7.15% entity level as federal SALT-cap workaround — beneficial for LLC members who itemize and hit the $10K federal SALT cap. Maine does NOT impose a franchise tax on regular LLCs; the Financial Institutions Franchise Tax under 36 MRSA § 5203 applies only to banks + trust companies.

Does Maine have a state sales tax?

Yes. Maine imposes a 5.5% state sales and use tax under 36 MRSA § 1811, with NO local city/county sales tax additions — one of the simplest US sales tax systems. Higher rates apply to specific categories: 8% on prepared food / meals / alcohol under § 1811(1-D), 9% on lodging (hotels, motels, B&Bs) under § 1811(1-D), 10% on short-term auto rentals under § 1811(4), and a 15% service provider tax under 36 MRSA § 2552 applies to a narrow list of services (telecommunications, fabrication, rental of furniture/machinery/video media, personal property rentals, dry cleaning, extended service contracts). Post-Wayfair, out-of-state remote sellers meeting Maine's $100,000 gross sales threshold under § 1951-B must register and collect Maine sales tax. Maine is a member of the Streamlined Sales and Use Tax Agreement (SSUTA). For a Portland retail LLC, Bangor restaurant LLC, or Bar Harbor B&B LLC, sales tax registration at Maine Revenue Services (maine.gov/revenue) is mandatory. Maine exempts most groceries from sales tax under 36 MRSA § 1752(3-B) (common with most US sales-tax states) but taxes prepared food + candy + soft drinks at 8%.

Does Maine permit Series LLCs?

No. Maine does NOT authorize series LLCs. If you need a series structure (e.g., real-estate investor holding multiple rental properties in separate liability-segregated internal "series"), you must form in a series-LLC state (DE, IL, TX, IA, NV, OK, TN, UT, AL, VA, WY, KY, WI, IN, MO, ND, PR) and foreign-qualify into Maine. The Maine Revised Uniform Limited Liability Company Act at 31 MRSA Chapter 21 adopted RULLCA substantive provisions in 2011 but deliberately omitted the optional series-LLC article. Maine LLC members seeking asset-level liability separation typically form one LLC per asset (the "horizontal" structure) rather than one parent with series (the "vertical" structure), which is materially more expensive in Maine — $175 × N formations + $85 × N annual reports — but avoids the untested series-LLC caselaw issues that still concern courts in non-series states.

Is Maine a good state for lobster, seafood, and aquaculture LLCs?

Yes — if you have real Maine coastal operations, ME is the natural formation state for lobster and seafood LLCs. Maine produces approximately 80% of US lobster by value (~100M lbs annually, ~$500M dockside value, ~$1.2B value-added after wholesale + retail + restaurant markup), licensed under 12 MRSA Chapter 619 through the Maine Department of Marine Resources (DMR). There are approximately 5,000 commercial lobster license-holders across seven DMR management zones (A–G), with ~4,000 apprentices on waitlists that typically take 5–20 years to graduate to Individual Trap Limits (Class I 300 traps, Class II 600, Class III 800). Major lobster-dependent operations: Maine Lobstermen's Association (trade group), Luke's Lobster (Portland HQ, ~40 shacks nationwide), Linda Bean's Perfect Maine Lobster (private), Ready Seafood (Saco — major wholesaler), Cozy Harbor Seafood (Portland), Inland Seafood, Cousins Maine Lobster (Shark Tank franchise), Maine Coast Seafood (York, wholesale), Highline Catering. Aquaculture is a growing vertical under 12 MRSA Chapter 605 (Aquaculture Leases) with Cooke Aquaculture (Atlantic salmon net-pen Jonesport/Cutler), Running Tide (kelp + carbon removal Portland), Ocean Farm Supply (Damariscotta River oysters), Glidden Point Oyster (Edgecomb), Pemaquid Oyster, Penobscot Bay scallop, Bangs Island Mussels (Casco Bay). Maine's broader seafood economy also includes groundfish (cod, haddock, pollock, flounder under NMFS New England Fishery Management Council limits), scallops (Georges Bank + Gulf of Maine quotas), shrimp (ME Pink Shrimp emergency-closed 2014 ongoing), herring + menhaden (bait + feed), seaweed harvest (~20M lbs wild rockweed + dulse + kelp). Honest disclosure: Maine's lobster fishery faces ongoing regulatory challenges — NOAA right whale protections under the Marine Mammal Protection Act + Endangered Species Act have driven closures + gear modifications (weak-link ropeless fishing gear trials), Canadian competition + climate warming shifting lobster populations north, and trap-limit waitlists blocking new-entrant capacity. ME Bureau of Corporations for DMR coordination + ME Revenue Services sales tax on lobster retail are the operational touchpoints for a new ME seafood LLC.

How long does it take to form a Maine LLC?

Standard processing at the Maine Secretary of State Bureau of Corporations is typically 5–10 business days for online filings through the SOS portal at maine.gov/sos, with most fully-complete online filings clearing in 7–10 business days. Paper filings by mail take 10–15 business days. Maine offers paid expedited processing tiers: $50 additional fee for 24-hour expedited review under 5 MRSA § 91 and $100 additional fee for immediate (same-day) processing when delivered in person to the Augusta office before 1 PM ET. Maine's standard processing is among the SLOWEST US states — comparable to NY 2–4 weeks standard, slower than most Midwest states (ND 1–3 days, KS 1–3 days, IA same-day), significantly slower than fast-processing states (ID same-day, MT same-day, OR same-day, WY 1 day, DE 1 day). For most new Maine LLC founders, the $50 24-hour expedite is worth it; Eleet AI includes expedited processing as an optional upgrade and standard filings typically deliver filed Certificate of Formation within 10 business days.

Do I need a Maine registered agent?

Yes. Under 31 MRSA § 1604 (the Maine Registered Agents Act), every Maine LLC must designate and continuously maintain a registered agent with a physical Maine street address — no P.O. boxes, no private mailbox services (UPS Store / PostNet / Mail Boxes Etc. addresses do not qualify), no virtual-office-only addresses. The agent must be available during normal business hours to accept service of process and official state correspondence. Maine uses standard "registered agent" terminology (not "resident agent" like MI/MD/MA, not "statutory agent" like AZ/OH). You can serve as your own registered agent only if you personally have a Maine street address where you are available during business hours. If you do not live in Maine, you MUST use a commercial registered agent with a ME physical address. Commercial registered agent services typically cost $100–$299 per year when purchased separately. Eleet AI includes first-year Maine registered agent service free with every ME LLC formation, then $100/yr after — the same flat rate we charge in all 50 states.

Does Maine require publication or an initial report?

No to both. Maine has NO newspaper publication requirement (unlike New York 1101 LLCL § 206 $500–$2,000+ Dun & Bradstreet / Schneps Media, Arizona A.R.S. § 29-3201(C) 3-week county newspaper, Nebraska Neb. Rev. Stat. § 21-193 3-week publication, Pennsylvania 15 Pa. C.S. § 8821 one-time advertisement). You do not need to publish your LLC formation in any ME newspaper. Maine also has NO separate initial report filing requirement — the Certificate of Formation itself includes all initial disclosures, so there is no second-step document due 30/60/90/120 days after formation (unlike Louisiana La. R.S. 12:1305 60-day LLC initial report, Washington RCW 25.15.073 120-day, Alaska AS 10.50.750(a) 6-month Biennial Report). Maine's ONLY state-level formation-timeline filings are: (1) the one-time $175 Certificate of Formation at formation, and (2) the $85 Annual Report due every June 1 starting the calendar year AFTER formation. There is no second-step document, no newspaper cost, no 120-day initial report. FinCEN Beneficial Ownership Information (BOI) reporting is a separate FEDERAL filing required of all US LLCs within 30 days of formation, filed free at fincen.gov/boi — this applies regardless of state.

Is Maine a good state for Bath Iron Works and Portsmouth Naval Shipyard defense contracting LLCs?

Yes — Maine is one of the best states in the US for defense-contracting LLCs supporting naval shipbuilding. Two Maine-anchored naval shipyards are strategically essential to the US Navy: (1) BATH IRON WORKS (BIW, Bath, ME — General Dynamics subsidiary since 1995, ~6,500 Maine employees) is the only US shipyard building Arleigh Burke-class DDG 51 guided-missile destroyers alongside HII Ingalls (Pascagoula MS), currently delivering the DDG 51 Flight III configuration with AN/SPY-6(V)1 radar, and completed the three Zumwalt DDG 1000 advanced-technology destroyers (USS Zumwalt, USS Michael Monsoor, USS Lyndon B. Johnson). BIW is a prime contender for the Constellation-class FFG(X) frigate construction (competing with HII Ingalls — Fincantieri Marinette Marine is the prime, but BIW is positioned for follow-on construction). BIW's cleared-contractor ecosystem supports Lockheed Martin (Aegis Combat System + VLS), Raytheon/RTX (AN/SPY-6 radar + SM-6 + Tomahawk), L3Harris (comms + EW), Northrop Grumman (AIMS + ESSM), BAE Systems (Mk 45 5-inch gun), Parker Hannifin (aux systems). (2) PORTSMOUTH NAVAL SHIPYARD (PNSY, Kittery ME — despite the "Portsmouth" name, the yard is across the Piscataqua River in Kittery, Maine) is ONE OF ONLY TWO US public naval shipyards with nuclear-submarine overhaul capability (the other is HII Newport News Shipbuilding in VA); PNSY specializes in Los Angeles-class (SSN 688) and Virginia-class (SSN 774) attack submarine refueling + overhaul + modernization, ~6,500 civilian employees, founded 1800, oldest continuously operating US Navy shipyard. PNSY cleared-contractor ecosystem supports General Dynamics Electric Boat (ONLY US SSN builder), HII, Bechtel, BWXT (nuclear reactor components), Honeywell FM&T Kansas City National Security Campus (weapons), Raytheon, Lockheed. Both yards support a deep professional-services + engineering-services + manufacturing-services LLC ecosystem in mid-coast Maine (Bath, Brunswick, Topsham, Wiscasset, Damariscotta) + southern Maine + York County (Kittery, York, Wells, Ogunquit, Saco). ME LLC formation at $175 + $85/yr is competitive cost-wise for a small-to-mid cleared-contractor services LLC, and Maine sales tax (5.5%) is lower than VA (5.3%–7%) or MS (7%) for BIW/PNSY subcontracting invoicing.
