Nominee Director Explained
Singapore law requires at least one director who is "ordinarily resident" in Singapore — a citizen, permanent resident, or holder of an EntrePass or Employment Pass. For foreign founders without a local presence, a nominee director fills this role.
The nominee director is a licensed professional who is appointed to the board solely to satisfy the residency requirement. They sign the statutory documents required by ACRA and attend to compliance filings alongside your corporate secretary.
What they do: Sign annual returns and compliance filings, attend to ACRA requirements, fulfill the statutory residency obligation.
What they do not do: Make business decisions, access bank accounts, enter into commercial contracts, or interfere with your operations. You maintain full operational control through your appointment as a foreign director.
This arrangement is standard practice in Singapore and is used by thousands of foreign-owned companies. When you are ready to appoint your own Singapore-resident director — through relocation, hiring, or a trusted local partner — the nominee can be removed.

Important Tax Considerations
Singapore's headline corporate tax rate is 17% — one of the lowest in Asia. But the effective rate is significantly lower for new companies. The startup tax exemption scheme provides 75% exemption on the first SGD 100,000 of chargeable income and 50% on the next SGD 100,000 for the first three years. This results in an effective tax rate of approximately 4.25% to 8.5% on the first SGD 200,000.
Singapore has no capital gains tax. Profits from the sale of shares, investments, or property are generally not taxed. There is no withholding tax on dividends paid to shareholders, regardless of their country of residence.
Singapore's extensive network of over 90 double taxation agreements (DTAs) helps avoid double taxation on cross-border income. The US-Singapore DTA covers income from business profits, dividends, interest, and royalties.
US citizens and tax residents owning a Singapore company must be aware of GILTI, Subpart F income, and Form 5471 reporting requirements. The startup exemption and low effective rates may interact with US tax credits — consult a cross-border tax advisor to optimize your structure.
Tax Disclaimer: This information is for general guidance only and does not constitute tax advice. Singapore's tax incentives and their interaction with US tax obligations (GILTI, Subpart F, Form 5471, foreign tax credits) require professional analysis. Consult with an international tax advisor before incorporating in Singapore.
